Terms of service

The agreement

These terms are a contract between you and Intelligent Solutions LLC (“Podium”, “we”, “us”), the operator of Podium Social at podiumsocial.com and app.podiumsocial.com. By creating an account or using the service you accept them. If you use Podium on behalf of a company or client, you confirm you're authorized to bind them, and “you” includes them.

The service

Podium is a social media command center: monitoring and analytics across supported platforms, niche benchmarks and scoring, trend and keyword intelligence, alerts, brand audits, content planning and publishing, AI-assisted drafting and automation, influencer discovery, and reporting. Features vary by plan, and we improve the service continuously — which means features may be added, changed or retired. If we retire something material to a paid plan, we'll give you reasonable notice.

Accounts & workspaces

• You must provide accurate information and keep your credentials secure. You're responsible for activity under your account.
• Workspaces isolate data. Seats are for named individuals; credentials may not be shared to circumvent seat limits.
• You must be at least 16 years old (or the age of digital consent where you live, if higher).

Connected social accounts

• You may only connect social accounts you own or are authorized to manage — for agencies, that means your client has authorized you.
• Podium accesses connected accounts through each platform's authorization flow, and acts on those accounts only as you instruct.
• You remain bound by each platform's own terms. Using Podium doesn't exempt you from Instagram's, TikTok's, YouTube's, X's or any other platform's rules, and platforms may change or restrict the data and publishing capabilities they expose — that is outside our control.

Acceptable use

You agree not to use Podium to:

• Send spam, run deceptive engagement schemes (fake followers, coordinated inauthentic behavior), or harass anyone.
• Publish content that is illegal, infringing, or violates a platform's content policies.
• Probe, disrupt or overload the service, or access another customer's data.
• Scrape, resell or redistribute the service or its data outside the features built for it (reports, exports and the API used within your plan are fine).
• Circumvent quotas, seat limits, credit metering or the approval gate.

We may suspend accounts that put the service or other customers at risk.

Publishing & the approval gate

Podium is built around a human approval gate: content drafted in or by Podium — including by AI — sits in a pending state until a human with permission approves it. Autopilot auto-publishing is off by default and only operates if you explicitly enable it for a workspace and platform, after a clear warning; every automated action is audit-logged. You are responsible for everything published from your workspaces, whether you wrote it, a teammate did, or you approved (or configured autopilot to publish) AI-drafted content.

AI features & credits

• Per-request AI work (drafting, generation, agent runs) consumes credits. Paid plans include a monthly allowance that resets each billing cycle and does not roll over; purchased credit packs don't expire while your account is active and are consumed after your allowance.
• Credit prices per action are shown in the product and may be adjusted; adjustments never reduce credits you've already purchased.
• AI output can be wrong, generic or unsuitable. Review it before you approve it — that's what the gate is for. To the extent we hold any rights in AI output generated for you, we assign them to you.
• Credit purchases are non-refundable except where the law requires otherwise.

Anonymized learning

Podium's benchmarks, predictions and recommendations are powered by de-identified, aggregated signals from across the platform, combined with public social data. By using Podium you agree to this processing, which is described in detail in the privacy policy — including the parts that protect you: direct identifiers are stripped, minimum group-size thresholds apply, and your raw private data is never exposed to another customer.

Plans, billing & changes

• Paid plans are billed in advance, monthly, via Stripe. Taxes may apply on top of listed prices.
• Upgrades take effect immediately; downgrades and cancellations take effect at the end of the current billing period. Except where required by law, fees are non-refundable.
• If you exceed your plan's quotas we'll ask you to upgrade rather than silently bill you.
• We may change prices or plan composition with at least 30 days' notice before your next renewal; launch pricing is explicitly subject to change.
• The Free plan is subject to fair-use limits and may evolve as the product does.

Your content & our IP

Your content stays yours. You grant us the limited license needed to operate the service: to store, process, display and — on your instruction — transmit your content to the platforms you choose. We claim no ownership of your posts, media or data, and you can export your data at any time.

Podium itself — the software, design system, scores, models and brand — belongs to Intelligent Solutions LLC and its licensors. These terms don't grant you any rights to it beyond using the service.

Availability

We aim for high availability but do not promise uninterrupted service, and we do not offer a contractual SLA at this stage. Planned maintenance and platform-side outages happen; monitoring and alerting are designed to degrade gracefully and catch up. Back up anything irreplaceable — and note that your source content always lives on the platforms themselves.

Termination

You can stop using Podium and delete your account at any time from settings. We may suspend or terminate accounts that materially breach these terms — where practical, we'll warn you first. After termination you have 30 days to export your data, after which it is deleted per the privacy policy. Sections that by their nature survive (your-content license wind-down, disclaimers, liability limits, general terms) survive.

Disclaimers & limitation of liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED — INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF ANALYTICS, BENCHMARKS, SCORES OR AI OUTPUT, AND NON-INFRINGEMENT. SOCIAL PLATFORM DATA DEPENDS ON THE PLATFORMS AND MAY BE DELAYED, RATE-LIMITED OR WITHDRAWN BY THEM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE OR DATA; AND OUR TOTAL LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

You agree to indemnify us against third-party claims arising from your content, your use of connected accounts, or your breach of these terms.

General

• These terms are governed by the laws of the United States and of the state in which Intelligent Solutions LLC is organized, without regard to conflict-of-law rules; disputes will be resolved in the courts located there, and you and we each waive any objection to that venue.
• If we materially change these terms we'll notify you in the product or by email at least 30 days before the change applies; continued use after that is acceptance.
• These terms plus the privacy policy are the entire agreement. If a provision is unenforceable, the rest stands. Failure to enforce a provision isn't a waiver. You may not assign these terms without our consent; we may assign them as part of a corporate transaction.
